1. About these terms
- ✦These terms apply to all quotations, proforma invoices, orders and shipments from Veervill Global, a unit of Veervill Private Limited, Thanjavur, Tamil Nadu, India ("we", "us").
- ✦By confirming an order or making a payment, the buyer accepts these terms. Any special terms agreed in writing on the proforma invoice or sales contract take priority over this page.
2. Quotations and prices
- ✦Quotations are valid for 7 days unless another period is stated. Agricultural prices change with season and crop, so prices are confirmed only on the proforma invoice.
- ✦Prices are quoted in USD unless agreed otherwise, on the Incoterm stated (EXW, FOB, CFR or CIF as per Incoterms® 2020).
- ✦Prices exclude import duties, taxes and charges in the buyer's country, which are paid by the buyer.
3. Orders and minimum quantity
- ✦We supply in bulk and wholesale quantities only. Minimum order quantity (MOQ) is shown on each product category, typically from 500 kg, and is confirmed in the quotation.
- ✦An order is confirmed only when the buyer accepts the proforma invoice in writing (email or WhatsApp) and the agreed advance payment is received, or a workable LC is opened.
- ✦Specifications (grade, moisture, size, colour, packing, labelling) must be agreed in writing before production.
4. Payment terms
- ✦New buyers: 30% to 50% advance by T/T on order confirmation, and the balance before shipment or against scanned shipping documents, as stated on the proforma invoice.
- ✦Repeat buyers and larger orders: irrevocable Letter of Credit at sight, or other terms agreed in writing.
- ✦All bank charges outside India are paid by the buyer. Bank charges inside India are paid by us.
- ✦Payment must be made only to a bank account in the name of Veervill Private Limited, as printed on our proforma invoice. We never ask buyers to pay into a personal account. If you receive a message with new or changed bank details, do not pay; call us first on +91 73737 17180.
- ✦Original shipping documents (bill of lading etc.) are released only after full payment, unless agreed otherwise.
- ✦Production and shipment start only after the advance is received. Delays in payment may delay shipment.
5. Samples
- ✦Samples of 250 g to 1 kg can be sent by courier. The buyer pays the courier charges, which are adjusted against the first order.
- ✦Samples represent the general quality of the product. Natural products can vary slightly in colour, size and aroma between lots.
6. Quality and inspection
- ✦Goods are supplied to the specification agreed on the proforma invoice or sales contract.
- ✦Lab test reports, pre-shipment photos and videos are available on request. The buyer may appoint an independent inspection agency (such as SGS) at their own cost before shipment.
- ✦Certificates (phytosanitary, fumigation, certificate of origin, health certificate, organic certificate) are provided where required for the destination and where available for the product.
7. Packing and labelling
- ✦Standard bulk packing is in 25 kg or 50 kg bags, cartons or as stated for each product. Private label and custom packing are available by agreement.
- ✦The buyer is responsible for making sure labels, artwork and declarations they supply meet the rules of the destination country.
8. Shipping and delivery
- ✦Shipments are made from Chennai, Tuticorin or Cochin ports, or by air cargo, as agreed.
- ✦Delivery time is an estimate, typically 2 to 4 weeks after order confirmation. We are not responsible for delays caused by shipping lines, ports, customs, weather or other events outside our control.
- ✦Risk passes to the buyer as per the agreed Incoterm. For FOB, risk passes when the goods are loaded on the vessel.
- ✦Customs clearance, duties and permits in the destination country are the buyer's responsibility.
9. Claims
- ✦Any claim for quality or quantity must be sent in writing within 7 days of the goods arriving at the destination port, with photos, videos and, for quality, a report from an independent surveyor.
- ✦Goods under claim must be kept unused and available for inspection. Claims are not accepted for goods that have been processed, repacked or stored in poor conditions.
- ✦Our total liability for any order is limited to the value of the goods concerned. We are not liable for indirect losses such as loss of profit.
10. Cancellation
- ✦Once production or purchase of raw material has started, orders cannot be cancelled without our written agreement.
- ✦If a buyer cancels a confirmed order, the advance may be used to cover costs already incurred, and any balance will be refunded.
11. Force majeure
- ✦Neither party is responsible for delay or failure caused by events beyond reasonable control, including floods, cyclones, crop failure, strikes, port closure, epidemics, war or government export restrictions. Both parties will agree a new schedule or cancel the unshipped part without penalty.
12. Governing law
- ✦These terms are governed by the laws of India. Any dispute that cannot be settled by discussion will be subject to the courts of Thanjavur, Tamil Nadu.
13. Website information
- ✦Product photos on this website may be representative. Product lists, specifications and availability may change without notice.
